1. Introduction

These Terms and Conditions govern the use of all AI automation services, software development, and consulting provided by Cortex AI Solutions. By accessing our website (cortexaisolutions.org) or engaging our services, you agree to these terms in full.

2. Fees and Payments

Service fees are agreed upon prior to project commencement. We require a 50% advance payment to begin development. The remaining 50% is due upon project completion and client approval.

Deposits are refundable only if Cortex AI Solutions fails to initiate the project within the agreed timeframe. Once AI architecture or development has begun, deposits are non-refundable.

3. AI Service Limitations

Our services utilize Large Language Models (LLMs) and third-party APIs (e.g., OpenAI, Anthropic). You acknowledge that AI-generated content can occasionally be inaccurate.

Final verification of all AI outputs is the responsibility of the client.
We are not liable for any damages resulting from AI "hallucinations" or incorrect automated actions.
Uptime is dependent on third-party API providers.

4. Intellectual Property

Upon full payment of all dues, the client is granted a perpetual license to use the custom software or AI workflows developed by Cortex AI Solutions. We retain the right to the underlying logic, code structures, and proprietary "know-how" used to build the solution.

5. Data Privacy & Compliance

We agree to keep all client data confidential. While we implement security measures for AI RAG (Retrieval-Augmented Generation) systems, the client is responsible for ensuring that the data they provide for training does not violate international privacy laws.

6. Governing Law

These terms are governed by the laws of the Republic of the Philippines.
